Position in the Capital Stack
Mezzanine debt sits between the senior debt and the sponsor’s equity. It is subordinate to the primary mortgage but senior to equity. Because it carries higher risk—if the project fails, the senior lender is paid first—mezzanine financing commands higher interest rates.
Structure and Collateral
Unlike a traditional mortgage secured by the real estate itself, mezzanine financing is typically secured by a pledge of the sponsor’s ownership interest in the entity that owns the property. This structure allows the mezzanine lender to take control of the entity relatively quickly in the event of a default, without going through a lengthy real estate foreclosure process.
